This End User Licence Agreement (“Agreement”) is between you and Rona Audio (“Rona Audio”, “we”, “us”, “our”) and governs your use of our audio plugin software and any presets, content, updates and documentation we provide (the “Software”). By downloading, installing, activating or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.

1. Licence grant

Subject to this Agreement and your payment of any applicable fees, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software on the number of computers permitted by your product’s activation limit, for your own music production — whether personal or commercial. Presets and factory content are licensed for use within your own productions.

2. Activation and licence keys

The Software uses serial numbers and online activation to protect against unauthorised use. Activation registers a privacy-preserving machine identifier (a one-way hash — we do not receive your raw hardware identifiers) and issues a licence file that allows the Software to be verified, including offline. You must not share, publish or resell your serial numbers. You may deactivate a machine to free an activation when you change computers, as described in the product documentation.

3. What you may not do

Except as permitted by this Agreement or by law, you must not:

  • copy the Software, except for a single backup copy;
  • sell, rent, lend, sublicense, distribute or otherwise transfer the Software or your licence keys;
  • reverse engineer, decompile or disassemble the Software, except to the extent this restriction is prohibited by law;
  • remove or alter any copyright, trade mark or other proprietary notices;
  • circumvent, disable or interfere with the Software’s licensing, activation or security features; or
  • use the Software to develop a competing product.

4. Ownership

The Software is licensed, not sold. Rona Audio and its licensors own all intellectual property rights in the Software. This Agreement does not give you any rights in the Software other than the licence expressly granted above.

5. Updates and support

We may make updates, bug fixes or new versions available from time to time; these form part of the Software and are covered by this Agreement. We provide support at support@rona.com.au but are not obliged to maintain, update or support any version indefinitely.

6. Term and termination

This Agreement applies for as long as you use the Software. It terminates automatically if you breach it. Your licence may also be revoked following a refund or chargeback. On termination you must stop using the Software and remove all copies. Sections that by their nature should survive termination (including ownership, disclaimers and liability) will continue to apply.

7. Your consumer rights

Our Software comes with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in this Agreement excludes, restricts or modifies those guarantees. If a consumer guarantee applies and cannot be excluded, but we are able to limit our liability for breaching it, our liability is limited (at our option) to re-supplying the Software or paying the cost of re-supply.

8. Disclaimer and limitation of liability

Subject to your rights under the Australian Consumer Law and to the maximum extent permitted by law, the Software is provided “as is” without warranties of any kind; we do not warrant that it will be error-free or uninterrupted or suitable for a particular purpose; and we are not liable for any indirect, incidental or consequential loss, or for loss of data, recordings, projects or profits. To the extent permitted by law, our total liability under or in connection with this Agreement is limited to the amount you paid for the Software. You are responsible for keeping backups of your work.

9. Third-party components

The Software may include third-party or open-source components that are licensed under their own terms. Those terms apply to those components where required.

10. Privacy

Information collected during activation and use of the Software is handled in accordance with our Privacy Policy.

11. Governing law

This Agreement is governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.
